TERMS OF SERVICE
1. ACCEPTANCE OF TERMS
Welcome to Artemis Animal Health Direct ("Artemis," "we," "our," or "us").
These Terms of Service ("Terms") govern your access to and use of the Artemis Animal Health Direct website, online store, content, communications, products, services, software, applications, and related offerings (collectively, the "Services").
By accessing, browsing, creating an account, purchasing products, or otherwise using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Services.
If you access or use the Services on behalf of a veterinary practice, corporation, university, governmental agency, research institution, or other entity, you represent that you have authority to bind that entity to these Terms.
2. PROFESSIONAL USE; RESTRICTED SALE
Products sold through the Services are intended primarily for veterinary, educational, research, or other professional use.
Certain products may be sold only to or on the order of licensed veterinarians, licensed physicians, veterinary hospitals, veterinary teaching institutions, research facilities, governmental entities, or other qualified purchasers.
Federal law may restrict certain devices to sale by or on the order of a licensed physician or veterinarian.
Artemis reserves the right to verify purchaser qualifications, request documentation, refuse orders, limit quantities, or cancel transactions at its sole discretion.
By purchasing products through the Services, you represent and warrant that you are legally authorized to purchase, possess, and use such products in the jurisdiction where they will be used.
3. VETERINARY USE NOTICE
Unless expressly stated otherwise by the manufacturer, products distributed by Artemis are marketed and sold for veterinary use.
Products offered through the Services are intended for use in veterinary medicine and animal healthcare applications.
Artemis does not represent or warrant that any product is approved, cleared, authorized, or labeled for use in human patients.
Purchasers are solely responsible for determining whether any product possesses applicable regulatory clearances, approvals, authorizations, or labeling for any intended use.
4. ACCOUNT REGISTRATION
You may be required to establish an account to access certain Services.
You agree to provide accurate, complete, and current information and to promptly update such information as necessary.
You are responsible for maintaining the confidentiality of account credentials and for all activities occurring under your account.
Artemis reserves the right to suspend, restrict, or terminate accounts at any time.
5. PRODUCT INFORMATION
Artemis strives to ensure the accuracy of all product descriptions, specifications, compatibility information, pricing, photographs, illustrations, and technical information.
However, all product information is provided for informational purposes only and may be modified without notice.
Product images may not precisely reflect the products delivered.
Compatibility information is provided as a general reference only. Purchasers are responsible for confirming compatibility with their specific equipment, accessories, procedures, and clinical requirements.
Artemis does not guarantee compatibility with any particular manufacturer's equipment unless expressly stated in writing.
6. CLINICAL USE AND PROFESSIONAL JUDGMENT
Artemis is not engaged in the practice of veterinary medicine or human medicine.
Information provided through the Services, including product descriptions, educational materials, videos, demonstrations, technical support, and customer communications, is provided solely for informational purposes.
Selection of instruments, procedural techniques, sterilization methods, patient management decisions, and clinical judgment remain solely the responsibility of the treating veterinarian, physician, or healthcare professional.
Artemis makes no representation or warranty regarding diagnostic accuracy, procedural success, therapeutic outcomes, or patient outcomes.
7. STERILIZATION, REPROCESSING, AND PRODUCT HANDLING
Purchasers and users are responsible for reviewing and following all applicable Instructions for Use, product labeling, warnings, precautions, sterilization instructions, and manufacturer recommendations.
Products designated as reusable must be properly cleaned, disinfected, sterilized, maintained, inspected, and stored in accordance with applicable instructions and accepted professional standards.
Products designated as disposable, single-use, sterile, or non-sterile must be handled in accordance with applicable labeling and institutional policies.
Certain products may be capable of sterilization using methods such as Ethylene Oxide (ETO) or Hydrogen Peroxide Gas Plasma (H₂O₂) sterilization when permitted by applicable labeling and validated procedures.
Artemis does not warrant the safety, effectiveness, structural integrity, regulatory compliance, or performance of any product that has been reprocessed, modified, reused, altered, repaired, or utilized outside of its intended purpose.
All decisions regarding sterilization, reprocessing, reuse, validation, and product handling are solely the responsibility of the purchaser and end user.
8. ORDERS
All orders are subject to acceptance by Artemis.
Artemis reserves the right to refuse, limit, modify, or cancel any order at any time, including after submission.
Receipt of an order confirmation does not constitute acceptance of an order.
Orders are deemed accepted only when shipped or otherwise confirmed by Artemis.
9. PRICING AND PAYMENT
All prices are subject to change without notice.
Unless otherwise stated, prices do not include shipping charges, insurance, taxes, customs duties, import fees, or similar charges.
You agree to provide complete and accurate billing and payment information and represent that you are authorized to use any payment method submitted.
10. SHIPPING AND DELIVERY
Shipping and delivery dates are estimates only.
Artemis shall not be liable for delays caused by carriers, customs authorities, governmental actions, supply chain interruptions, labor disputes, weather events, or circumstances beyond its reasonable control.
Title and risk of loss transfer to the purchaser upon delivery of products to the shipping carrier.
11. RETURNS AND REFUNDS
Returns, exchanges, refunds, and warranty claims are governed exclusively by Artemis's Return and Refund Policy.
Certain products may be non-returnable, including sterile products, opened products, special-order products, custom products, and products subject to regulatory restrictions.
12. PRODUCT COMPLAINTS AND ADVERSE EVENTS
Purchasers shall promptly notify Artemis of any suspected product defect, malfunction, adverse event, safety concern, unexpected product performance issue, serious animal injury, or animal death potentially associated with product use.
Artemis reserves the right to investigate any reported issue and may require return of products, photographs, records, sterilization logs, maintenance documentation, or other information reasonably necessary to evaluate the matter.
13. RECALLS AND CORRECTIVE ACTIONS
In the event of a recall, field correction, safety notice, or other corrective action, purchasers agree to cooperate with all instructions issued by Artemis or the applicable manufacturer.
Purchasers shall cease use of affected products when instructed to do so.
14. INTELLECTUAL PROPERTY
All content made available through the Services, including trademarks, logos, text, images, graphics, videos, product descriptions, software, documentation, and website content, is owned by Artemis, its licensors, or its suppliers and is protected by applicable intellectual property laws.
No license or ownership rights are granted except as expressly provided herein.
15. THIRD-PARTY PRODUCTS AND LINKS
The Services may contain links to third-party websites, manufacturers, distributors, educational resources, or service providers.
Artemis does not endorse and is not responsible for any third-party content, products, services, or websites.
Access to third-party resources is undertaken entirely at your own risk.
16. FEEDBACK
Any feedback, reviews, comments, suggestions, ideas, recommendations, or submissions provided to Artemis may be used by Artemis without restriction or compensation.
You grant Artemis a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, publish, distribute, and display such feedback for any lawful purpose.
17. PROHIBITED USES
You may not:
- Violate any applicable law or regulation;
- Misrepresent your identity or qualifications;
- Access the Services through unauthorized automated means;
- Interfere with the operation of the Services;
- Introduce malicious software or code;
- Attempt unauthorized access to systems or data;
- Reverse engineer software associated with the Services;
- Collect information from the Services through scraping or automated extraction tools; or
- Use products in violation of applicable laws, regulations, labeling, or manufacturer instructions.
18. DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALL PRODUCTS, SERVICES, CONTENT, AND INFORMATION PROVIDED BY ARTEMIS ARE PROVIDED "AS IS" AND "AS AVAILABLE."
ARTEMIS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, PERFORMANCE, DURABILITY, OR CLINICAL OUTCOME.
ARTEMIS DOES NOT WARRANT THAT ANY PRODUCT WILL ACHIEVE A PARTICULAR DIAGNOSTIC RESULT, PROCEDURAL SUCCESS, THERAPEUTIC RESULT, OR CLINICAL OUTCOME.
19. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, ARTEMIS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.
THIS INCLUDES DAMAGES RELATED TO:
- ANIMAL INJURY;
- ANIMAL DEATH;
- LOSS OF BREEDING VALUE;
- LOSS OF PRODUCTION VALUE;
- LOST PROFITS;
- LOST BUSINESS OPPORTUNITIES;
- LOSS OF DATA;
- PROCEDURAL COMPLICATIONS;
- PRODUCT FAILURE;
- DELAYED TREATMENT; OR
- INTERRUPTION OF BUSINESS OPERATIONS.
IN NO EVENT SHALL ARTEMIS'S TOTAL LIABILITY EXCEED THE AMOUNT PAID FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM.
20. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Artemis, its affiliates, officers, directors, employees, agents, contractors, suppliers, licensors, and manufacturers from any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from:
- Your use of the Services;
- Your violation of these Terms;
- Improper use of products;
- Failure to follow Instructions for Use;
- Violation of applicable law; or
- Claims brought by third parties arising from your use of products purchased through the Services.
21. FORCE MAJEURE
Artemis shall not be liable for delays or failures resulting from events beyond its reasonable control, including natural disasters, labor disputes, pandemics, cyberattacks, transportation interruptions, governmental actions, utility failures, or supply chain disruptions.
22. TERMINATION
Artemis may suspend, restrict, or terminate access to the Services at any time and without prior notice.
Termination shall not affect any rights, obligations, limitations of liability, indemnification obligations, or other provisions intended to survive termination.
23. GOVERNING LAW
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict-of-law principles.
Any dispute arising out of or relating to these Terms, the Services, or any products purchased through the Services shall be brought exclusively in the state or federal courts located within the State of Delaware.
The parties irrevocably consent to the jurisdiction and venue of such courts.
24. SEVERABILITY
If any provision of these Terms is determined to be unenforceable, the remaining provisions shall remain in full force and effect.
25. ENTIRE AGREEMENT
These Terms, together with the Privacy Policy, Return Policy, and any policies incorporated by reference, constitute the entire agreement between Artemis and the user.
26. CHANGES TO TERMS
Artemis may modify these Terms at any time by posting updated Terms on the Services.
Continued use of the Services after such posting constitutes acceptance of the revised Terms.
